Terms of Service

By creating an account or using Everia, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with them in full. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Everia is a cloud-based platform providing test case management, sprint tracking, knowledge hub, project board, retrospective tools, and team collaboration features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@everia.io if you suspect unauthorized use of your account.

You may not share your account credentials, create accounts using automated means, or register an account on behalf of another person without their permission.

Everia offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at the time of purchase. All fees are exclusive of applicable taxes, which you are responsible for paying.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your billing settings. Upon cancellation, you retain access to paid features until the end of the current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

You agree not to use Everia to:

• Violate any applicable laws or regulations.
• Upload or transmit malicious code, viruses, or harmful data.
• Infringe the intellectual property rights of others.
• Harass, abuse, or harm other users.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Use the Service to send unsolicited communications (spam).
• Resell or sublicense access to the Service without our prior written consent.
• Scrape or otherwise harvest data from the Service through automated means.

We reserve the right to suspend or terminate accounts that violate these acceptable use requirements.

You retain ownership of all content you upload, create, or store within Everia ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, and display Your Content solely to provide the Service to you.

You are solely responsible for Your Content and represent that you have all necessary rights to upload it. We do not review content before it is posted and bear no responsibility for it. We reserve the right to remove content that violates these Terms.

The Everia name, logo, platform, and all associated software, designs, and documentation are the exclusive intellectual property of Everia and its licensors. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Everia, you consent to the collection and use of your data as described in the Privacy Policy.

Everia may integrate with third-party services (e.g., GitHub, Slack, Jira). Your use of those integrations is subject to the terms and privacy policies of the respective third parties. We are not responsible for the availability, accuracy, or conduct of third-party services.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by law, Everia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) USD $100.

You agree to indemnify, defend, and hold harmless Everia and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for breach of these Terms. Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination will remain in effect.

You may delete your account at any time through your account settings. Upon deletion, your data will be handled in accordance with our data retention policy described in the Privacy Policy.

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts.

We may update these Terms from time to time. We will notify you of material changes by email or through an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
