These Terms of Service ("Terms") constitute a legally binding agreement between you and Zealtouch AB ("we", "us", "our"), the company that operates Everia. By accessing or using Everia you confirm you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account or otherwise using Everia you confirm that you are at least 18 years of age (or 16 years of age with verifiable parental consent where permitted by law), have full legal capacity to enter into a binding contract, and agree to comply with these Terms in full.
If you use the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and all references to "you" include both you and the organisation.
2. Description of Service
Everia is a cloud-based project management platform operated by Zealtouch AB, providing:
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. For material changes we will provide reasonable advance notice.
3. Account Registration
You must provide accurate, current, and complete information when creating your account and keep it updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Subscription & Billing
Everia offers a Free plan and paid plans (Team, Growth) billed monthly or annually as selected at checkout. All fees are displayed inclusive of VAT where required under Swedish and EU law.
Paid subscriptions renew automatically on the same day each billing cycle unless cancelled before the renewal date. You may cancel at any time in your billing settings; you retain access to paid features until the end of the current paid period.
We do not provide refunds for partial billing periods except where required by applicable consumer law (including the Swedish Distance Contracts Act and EU Consumer Rights Directive 2011/83/EU, where a 14-day withdrawal right may apply to new subscriptions).

5. Acceptable Use
You agree to use Everia only for lawful purposes and in accordance with these Terms. The following are strictly prohibited:
We reserve the right to suspend or permanently terminate accounts that violate these requirements, without refund and without prior notice where the violation is serious.
6. Your Content
You retain full ownership of all content you upload, create, or store within Everia ("Your Content"). By using the Service you grant Zealtouch AB a limited, non-exclusive, royalty-free licence to host, store, transmit, and display Your Content solely to the extent necessary to provide the Service to you.
You represent and warrant that you hold all rights necessary to upload Your Content and that doing so does not infringe any third-party rights.
We do not use Your Content to train AI or machine-learning models. Your data remains yours.
We do not proactively review content before it is posted. We reserve the right to remove content that violates these Terms or applicable law.
7. Intellectual Property
The Everia name, logo, platform, software, designs, and all associated documentation are the exclusive intellectual property of Zealtouch AB and its licensors, protected under Swedish and international copyright, trademark, and other IP laws.
Nothing in these Terms grants you any right to use our trademarks, trade names, service marks, or branding without our prior written consent. Any feedback or suggestions you provide may be used by us freely without obligation to you.
8. Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Zealtouch AB processes personal data in accordance with GDPR (Regulation EU 2016/679) and the Swedish Data Protection Act (Dataskyddslagen, SFS 2018:218).
By using Everia you acknowledge that data processing occurs as described in the Privacy Policy. You can exercise your GDPR rights (access, erasure, portability, etc.) by contacting hello@everia.io.
9. Third-Party Integrations
Everia supports integrations with third-party services including GitHub, GitLab, Jira, Slack, Telegram, and WhatsApp. Your use of those integrations is subject to the respective third party's own terms of service and privacy policies.
Zealtouch AB is not responsible for the availability, accuracy, security, or conduct of any third-party service. Enabling an integration is entirely at your own discretion and risk.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We aim for high availability but cannot guarantee 100% uptime.
Nothing in this section limits any statutory consumer rights you may have under mandatory Swedish or EU law that cannot be excluded by contract.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Zealtouch AB shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
Liability cap
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of: (a) the total fees you paid us in the 12 months preceding the claim, or (b) EUR 100.
These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Swedish or EU law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Zealtouch AB and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; or (c) your breach of these Terms or any applicable law.
13. Termination
Either party may terminate these Terms at any time. You may delete your account through your account settings; upon deletion your data will be handled in accordance with our Privacy Policy.
We may suspend or terminate your access with immediate effect and without refund if you materially breach these Terms, engage in prohibited conduct, or if required to do so by law. For less serious breaches we will generally provide notice and an opportunity to remedy.
Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will remain in effect.
14. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of Sweden, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Stockholm District Court (Stockholms tingsrätt), unless mandatory consumer protection law in your country of residence requires otherwise.
EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, applicable law, or business practices. We will notify you of material changes by email and/or a prominent in-app notice at least 30 days before they take effect.
Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account before the effective date.
